Standard Commercial Service Agreement
Empire Building Maintenance agrees to provide building maintenance and facility services as specified in the service quote or work order accepted by the Client.
To the maximum extent permitted by law, the total cumulative liability of Empire Building Maintenance for all claims, losses, or damages arising out of the performance of this Agreement, whether in contract, tort (including negligence), or otherwise, shall be limited to the total amount of fees actually paid by the Client to Empire Building Maintenance for the specific service cycle giving rise to the claim.
NOTICE: Empire Building Maintenance hereby reserves all rights under M.G.L. c. 254 to record a Notice of Contract and file a Mechanic’s Lien against the real property where services are performed in the event of non-payment for labor, equipment, or materials provided.
Invoices are payable within the agreed term: Net-30. Any invoice not paid within the specified period shall be subject to a finance charge of 1.5% per month (18% per annum) or the maximum allowed by law, plus all costs of collection and reasonable attorney’s fees.

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.
